By creating an account, accessing, or using IshopLocal (the "Platform"), you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and agree to these Terms. If you are using the Platform on behalf of a business, you represent that you have authority to bind that business to these Terms.
IshopLocal provides product origin verification, MapleScore⢠economic intelligence scoring, certified Canadian alternative product recommendations, 3EP certification services, PrimeWave regional analytics, and related B2B tools. The Platform is provided as a software-as-a-service (SaaS) on a subscription and/or pay-per-use basis.
All paid subscriptions are billed monthly in advance via PayPal. Prices are in Canadian dollars and are subject to applicable taxes. Desvy reserves the right to change pricing with 30 days written notice to registered users.
Subscriptions automatically renew unless cancelled before the renewal date. You may cancel at any time through your account settings or by contacting contact@ishoplocal.ca. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial months, except as required by the Ontario Consumer Protection Act, 2002.
If you are a consumer resident in Ontario, you have rights under the Consumer Protection Act, 2002, S.O. 2002, c. 30, Sched. A, including:
Nothing in these Terms limits or excludes any rights you have under applicable Canadian consumer protection legislation that cannot be waived by contract.
The Platform's alternatives list may include sponsored product placements. Sponsored products are clearly labelled as "Sponsored." Desvy receives compensation from brands that purchase ranking slots. Affiliate links in the alternatives list may generate commission revenue for Desvy when users click through and purchase. The presence of a sponsored listing does not imply endorsement of the product's quality beyond its verified MapleScoreā¢.
The 3EP certification issued by Desvy constitutes a representation that the product data submitted by the brand at the time of certification was verified against available sources and hashed/signed at that point in time. Desvy does not independently audit manufacturing facilities. Certifications are based on declared data and available government and public databases. Desvy makes no warranty as to the ongoing accuracy of certified product data after the certification date.
All content, software, trademarks, and technology on the Platform ā including IshopLocalā¢, MapleScoreā¢, PrimeWaveā¢, the 3EP Certification system, and Janelle ā are the exclusive property of Desvy, A 3E Solutions and are protected by Canadian copyright, trademark, and intellectual property law.
You may not copy, modify, distribute, sell, or create derivative works from any part of the Platform without our express written consent. The IshopLocal API may be accessed under a separate API licence agreement available to Business plan subscribers.
You agree not to:
The Platform is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. Desvy does not warrant that origin data is 100% accurate, complete, or current. Product origin determinations are confidence-scored estimates based on available data sources.
To the maximum extent permitted by applicable law, Desvy, A 3E Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Platform, even if Desvy has been advised of the possibility of such damages.
Desvy's total liability for any claim arising under these Terms shall not exceed the amount you paid to Desvy in the 3 months preceding the claim.
You agree to indemnify and hold harmless Desvy, A 3E Solutions, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ontario.
Before initiating legal proceedings, you agree to contact us at contact@ishoplocal.ca and attempt to resolve the dispute informally within 30 days.
We may update these Terms at any time. We will provide at least 14 days notice of material changes by email to registered users and by posting the updated Terms at ishoplocal.ca/terms. Continued use of the Platform after the effective date constitutes your acceptance of the revised Terms.
We may suspend or terminate your access to the Platform at any time for breach of these Terms, fraudulent activity, or for any other reason with reasonable notice. Upon termination, your right to use the Platform ceases immediately. Sections 8, 10, 11, 12, and 13 survive termination.
